To participate in the VideoGuru Affiliate Program (the “Program”), an applicant must provide accurate, complete, and current information, including the applicant’s legal name or legal entity name, principal place of business, valid contact information, payment information, tax information where requested, and a description of the websites, social-media accounts, applications, email lists, or other channels through which the applicant intends to promote VideoGuru.
VideoGuru may approve, reject, suspend, or terminate any application or Affiliate account in its sole discretion. VideoGuru may require an Affiliate at any time to provide reasonable documentation to verify identity, ownership or control of promotional channels, payment-account ownership, tax status, traffic sources, and compliance with these Terms. Failure to provide requested documentation within the time specified by VideoGuru may result in suspension, rejection of referrals, withholding of commissions, or termination from the Program.
Each Affiliate may maintain only one Program account unless VideoGuru expressly authorizes additional accounts in writing. An Affiliate may not create or control multiple accounts, use aliases, or use multiple identities, email addresses, payment accounts, or entities to evade Program rules, payment limits, review procedures, suspension, or termination.
A “Qualified Referral” is a new, bona fide, arm’s-length customer who:
Commissions are not earned merely because they appear in an Affiliate dashboard. All commissions are subject to VideoGuru’s validation and approval. VideoGuru may reverse, deny, delay, or withhold commissions for referrals that are invalid, duplicative, fraudulent, manipulated, non-arm’s-length, refunded, charged back, generated in breach of these Terms, or reasonably suspected to involve such conduct.
VideoGuru may hold commissions for up to 60 days after the applicable customer payment, or longer where reasonably necessary to investigate suspected fraud, chargebacks, policy violations, or compliance concerns.
No commission is earned, vested, payable, or owed unless and until the Affiliate’s cumulative balance of approved, payable commissions reaches at least $50.00 USD (the “Minimum Payout Threshold”). Commissions displayed in an Affiliate dashboard, tracked, pending, or otherwise attributed to an Affiliate do not create any payment obligation unless they have been approved by VideoGuru and the Minimum Payout Threshold has been met.
If an Affiliate’s approved, payable commission balance is below the Minimum Payout Threshold, VideoGuru has no obligation to issue a payment. Such balance may remain in the Affiliate’s account and be carried forward toward a future payout, subject to these Terms, VideoGuru’s validation procedures, reversals, and any applicable payout requirements.
VideoGuru may reverse, deny, delay, withhold, or offset any commissions as permitted under these Terms, including before or after the Minimum Payout Threshold is reached. VideoGuru is not obligated to make a partial payout below the Minimum Payout Threshold.
If an Affiliate account is terminated, becomes inactive, or is closed before the Minimum Payout Threshold is met, any unpaid balance below the Minimum Payout Threshold will be forfeited to the extent permitted by applicable law.
Affiliates must not, directly or indirectly:
Unless VideoGuru gives prior written approval, Affiliates may not purchase, bid on, target, or otherwise use any VideoGuru brand term in paid advertising, including advertising through Google, Microsoft/Bing, Yahoo, or other search or advertising platforms.
Prohibited terms include “VideoGuru,” VideoGuru’s trademarks, product names, domain names, common misspellings, phonetic equivalents, variations, and combinations of any of those terms with words such as “discount,” “coupon,” “promo,” “review,” “login,” or similar terms.
Affiliates may not use VideoGuru brand terms in ad copy, display URLs, landing-page domains or subdomains, social handles, or metadata in a manner likely to cause confusion regarding affiliation with VideoGuru.
Affiliates running any authorized paid-search campaigns must add VideoGuru’s brand terms and reasonable variations as negative keywords.
VideoGuru may use technical controls to deny affiliate credit for specified traffic sources or campaigns. Traffic that is blocked, filtered, or deemed noncompliant will not qualify for commission, even if it is otherwise tracked to an Affiliate.
Affiliates must comply with all applicable laws, regulations, advertising standards, and platform policies.
Where an Affiliate makes an endorsement, review, testimonial, or recommendation concerning VideoGuru, the Affiliate must clearly and conspicuously disclose the Affiliate’s financial relationship with VideoGuru, including the ability to earn commissions. The disclosure must be placed with the endorsement and in the same language as the endorsement.
Affiliates must not make claims about VideoGuru that are false, misleading, unsubstantiated, or inconsistent with VideoGuru’s current approved marketing materials.
